LOAN APPLICATION TERMS AND CONDITIONS

These Loan Application Terms and Conditions ("Terms") govern the submission of any online or written loan application ("Application") to Stratton Capital Group ("Company," "we," "us," or "our"). By submitting an Application, you ("Applicant," "Borrower," "Guarantor," or "you") acknowledge and agree to the following:

1. Purpose of Application

Submission of an Application is solely for the purpose of evaluating a potential financing transaction. Submission does not constitute:

  • A commitment to lend

  • An approval of financing

  • A guarantee of terms

  • An obligation by Company to fund

  • Any financing is subject to underwriting, due diligence, credit approval, legal documentation, and final execution of definitive loan agreements. 

 

2. Authorization to Verify Information

You authorize Company and its representatives, agents, affiliates, capital partners, lenders, investors, and service providers to:

  • Verify any information provided in the Application

  • Obtain consumer and/or commercial credit reports

  • Conduct background checks where permitted by law

  • Verify bank statements, tax returns, financial statements, and related documents

  • Contact references, landlords, vendors, financial institutions, and other relevant third parties

  • This authorization applies to both business entities and any individual guarantors.

  • Company may obtain updated credit information at any time during underwriting and, if applicable, during the life of any financing relationship.

3. Representations and Warranties

You represent and warrant that:

  • All information submitted is true, complete, and accurate

  • No material information has been omitted

  • Financial statements fairly represent the financial condition of the Applicant

  • You are authorized to submit the Application on behalf of the borrowing entity

  • Any material misrepresentation or omission may result in denial, withdrawal of approval, or immediate default under any executed financing documents.

4. Fees and Expenses

Unless otherwise agreed in writing:

  • Submission of an Application does not obligate Company to incur expenses on your behalf.

  • Certain transactions may require underwriting, due diligence, legal, appraisal, environmental, or third-party reports.

  • If applicable, required deposits or fees will be disclosed in writing prior to engagement.

  • Any earned origination, structuring, or placement fees will be defined in a written agreement and are typically payable at closing.

  • No fee is deemed earned unless specified in executed written documentation.

5. No Reliance / No Advisory Relationship

Company is acting solely as a principal lender, capital provider, or financing intermediary, as applicable. Nothing herein creates:

  • A fiduciary relationship

  • An advisory relationship

  • A partnership or joint venture

  • You acknowledge that you are responsible for obtaining independent legal, tax, and financial advice.

6. Confidentiality and Data Use

Information submitted may be shared with:

  • Internal underwriting personnel

  • Legal counsel

  • Accountants

  • Third-party service providers

  • Capital partners or funding sources for evaluation purposes

  • Company does not sell Applicant information. Information is used solely for underwriting, evaluation, capital placement, compliance, and servicing purposes.

  • Electronic communications may be used in connection with the Application and any resulting transaction.

7. No Obligation to Proceed

Company reserves the right to:

  • Decline any Application at its sole discretion

  • Modify proposed terms

  • Withdraw indications of interest

  • Terminate discussions at any time prior to execution of definitive agreements

  • Any term sheet, proposal, or indication of interest is non-binding unless expressly stated otherwise.

8. Electronic Consent

By submitting the Application electronically, you:

  • Consent to electronic records and signatures

  • Agree that electronic copies are enforceable as originals

  • Confirm your authority to bind the Applicant

9. Indemnification
You agree to indemnify and hold Company harmless from any loss, liability, cost, or expense arising from:

  • False or misleading information provided by you

  • Breach of these Terms

  • Unauthorized submission of information

  • This provision survives termination of the Application process.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the state or federal courts located in [Insert County, State].

 

11. Amendments

Company reserves the right to update these Terms at any time. The version in effect at the time of Application submission shall control.

12. Acceptance

By checking the acceptance box and submitting the Application, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
